Terms of Use & End User License Agreement (EULA)

1. Introduction

Welcome to Control-It (the “App”). These Terms of Use and End User License Agreement (collectively, the “Terms”) govern your use of the App, the control-it.app website, and any related services we provide (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Free Access & No Subscriptions

Control-It is provided completely free of charge. All core features—including grid layout creation, multi-protocol execution (HTTP, OSC, TCP, UDP, MIDI, JS scripts), local network scanning, CloudKit sync, real-time collaboration, and the Autonomous AI Agent—are included without subscription fees or in-app purchases.

3. Eligibility & Accounts

1. Minimum age 13. You represent that you are at least 13 years old (or older if required by your local law).
2. Accurate information. If you create a profile or share grids, you must provide truthful information.
3. Security. You are responsible for safeguarding your device and iCloud credentials. Notify us promptly at micahcrandell.dev@gmail.com of any unauthorized use.

4. Acceptable-Use Policy

This AUP applies to any connection to the Control-It CloudKit container, local network targets, or hosted API endpoints.

Legal compliance: You must comply with all applicable laws, regulations, and third-party rights when issuing network commands or performing LAN discovery.

Prohibited conduct. You may not:

• Upload illegal, infringing, or harmful content or scripts;
• Target, probe, or scan network devices or servers without proper authorization;
• Attempt to exceed 40 CloudKit write requests per minute or 5,000 per day without written consent;
• Probe, scan, or test the vulnerability of any Control-It system or infrastructure;
• Circumvent authentication or security controls.

Enforcement: We reserve the right to throttle, suspend, or terminate CloudKit sync access if you breach this AUP.

5. Autonomous AI Agent & BYOK Terms

Control-It includes an Autonomous AI Agent capable of building actions, scanning local network devices, and executing commands via function calling. By using the AI Agent features, you acknowledge and agree that:

• Bring Your Own Key (BYOK): You supply your own API key for Google Gemini, OpenAI, or Anthropic Claude. Your API usage is billed directly to your account with the respective provider. You are solely responsible for all usage fees incurred on your third-party API accounts.
• AI Output Disclaimer: Output generated by the AI Agent (including natural language responses, code snippets, proposed network payloads, or automated tool commands) is generated by artificial intelligence and provided “AS IS”. AI models may hallucinate, produce erroneous outputs, or recommend unintended network requests.
• User Review & Authorization: You are solely responsible for reviewing and approving commands, scripts, or grid modifications executed by or suggested by the AI Agent. Micah Crandell is not liable for any network disruption, hardware malfunction, data loss, or unauthorized action resulting from AI-generated actions.

6. Collaborative Grids & Multi-User Sharing

Control-It permits you to share control grid layouts with co-editors via CloudKit sharing. You are solely responsible for designating trusted co-editors. Any network action, macro trigger, or tile modification initiated by an authorized co-editor on a shared grid is deemed authorized by you.

7. License Grant (EULA)

Subject to these Terms, we grant you a personal, revocable, non-exclusive, non-transferable, limited license to install and use the App on Apple-branded products you own or control as permitted by Apple Media Services Terms and Conditions. All other rights are reserved.

8. Intellectual Property

The Services, App interface, and related intellectual property are owned by Micah Crandell or its licensors. You receive no rights except those expressly granted in these Terms.

9. User Content

You retain ownership of custom grid layouts, scripts, and action definitions you create. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display that content solely to operate and sync the Services.

11. Third-Party Services & Apple Terms

The Services rely on third-party services (e.g., Apple CloudKit, Google Gemini, OpenAI, Anthropic Claude, local network hardware). Your use of third-party services is subject to their respective terms. You acknowledge Apple is not responsible for providing maintenance or support for the App.

12. Termination

We may suspend or terminate your CloudKit sync access at any time if (a) you breach these Terms, (b) we discontinue hosted services, or (c) required by law.

13. Disclaimers

THE SERVICES AND APP ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE SERVICES OR AI AGENT OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SECURE.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR AI AGENT EXECUTIONS IS LIMITED TO US $50. WE ARE NOT LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING HARDWARE DAMAGE, NETWORK DISRUPTION, OR DATA LOSS.

15. Indemnity

You agree to indemnify and hold harmless Micah Crandell, affiliates, officers, employees, and agents from any claim, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, network actions, AI Agent prompts, or breach of these Terms.

16. Export & Sanctions Compliance

You may not use, export, or re-export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. You represent you are not located in a country subject to U.S. embargoes or listed on restricted party lists.

17. Governing Law

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict-of-laws principles.

18. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide notice in-app or on our website at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
